Terms of Service

1. Acceptance of Terms

These Terms of Service (the “Terms”) form a binding agreement between you and AgencyForge (“AgencyForge,” “we,” “our,” or “us”) governing your access to and use of the AgencyForge platform, websites, APIs, and related services (collectively, the “Service”). By creating an account or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you are using the Service on behalf of an agency or organization, you represent that you are authorized to bind that entity.

2. Account & Eligibility

You must be at least 18 years old and able to enter into a contract. You agree to provide accurate registration information and to keep credentials confidential. You are responsible for all activity under your account, including by team members you invite. Notify us promptly of any unauthorized access.

3. Subscriptions & Billing

The Service is offered on free and paid subscription plans. Paid subscriptions renew automatically each billing cycle until cancelled. Plans are priced by hosted site slots and team features — not by AI token usage.

AI features use a bring-your-own-key (BYOK) model. You connect API keys for supported providers (e.g. Google Gemini, OpenAI, Anthropic, Flux) in your agency settings. AI usage is billed directly by those providers under their terms. AgencyForge does not sell AI credits or token packs.

Payments are processed by Stripe. Fees are charged in advance, are non-refundable except where required by law, and are stated exclusive of taxes for which you are responsible. We may change pricing on at least 30 days’ notice; changes apply at the start of your next billing cycle.

4. Acceptable Use

You agree not to use the Service to:

  • Violate any law or third-party right (including intellectual property and privacy rights).
  • Generate, host, or distribute content that is unlawful, defamatory, harassing, hateful, sexually exploitative of minors, or that promotes violence.
  • Attempt to circumvent rate limits or other usage controls.
  • Reverse-engineer, scrape, or attempt to extract source code or model weights.
  • Introduce malware or interfere with the integrity or performance of the Service.
  • Use the Service to build a competing product or to benchmark for a competing product without our written consent.

5. Customer Content

“Customer Content” means data you or your team upload, create, or generate through the Service, including intake records, project data, AI-generated pages and images, blog posts, and media. You retain ownership of Customer Content. You grant AgencyForge a worldwide, non-exclusive, royalty-free license to host, store, transmit, display, modify, and process Customer Content solely as needed to operate, secure, support, and improve the Service for you, including by sending relevant data to AI model providers to fulfill your AI requests. We will not use Customer Content to train any AI model.

You are responsible for the accuracy, legality, and appropriateness of Customer Content and for obtaining all rights and consents needed to upload it.

6. Multi-Tenant Data Isolation

AgencyForge is a multi-tenant platform. Each agency’s Customer Content is logically isolated from other tenants and is accessible only to that agency’s authorized members and to AgencyForge personnel as necessary to operate, secure, and support the Service. Within your tenant, you are responsible for managing roles, invitations, and access for your team and any end-clients you grant access to.

7. AI Outputs & Disclaimers

AI-generated outputs (content, images, suggestions, scoring) are produced by third-party models and may contain inaccuracies, biases, or content that infringes third-party rights. You are responsible for reviewing, editing, and verifying AI outputs before publishing. AgencyForge makes no warranty that AI outputs are accurate, complete, original, non-infringing, or fit for any particular purpose.

Per the model providers’ terms and our configuration, the same prompt may produce identical or similar outputs across users. You should not assume that any specific AI output is unique to you.

8. Third-Party Services

The Service integrates with third-party services including Stripe (payments), Google (Gemini AI, Maps, optional Search Console), Anthropic (Claude AI), and GitHub (export). Your use of those services is governed by their own terms. AgencyForge is not responsible for the availability, accuracy, or behavior of third-party services.

9. Termination

You may cancel your subscription at any time from your account settings; access continues through the end of the paid period. We may suspend or terminate your account immediately if you breach these Terms, fail to pay, or use the Service in a way that risks harm to other users or to the Service. On termination, your access ends and your Customer Content may be deleted in accordance with our Privacy Policy.

10. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that AI outputs will meet your requirements.

11. Limitation of Liability

To the maximum extent permitted by law, AgencyForge will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, data, or goodwill. Our aggregate liability for any claim arising out of or relating to the Service will not exceed the greater of (a) the fees you paid us in the 12 months preceding the event giving rise to the claim, or (b) one hundred US dollars ($100).

12. Indemnification

You agree to defend, indemnify, and hold AgencyForge harmless from any claim, liability, damage, or expense (including reasonable attorneys’ fees) arising out of (a) your Customer Content, (b) your use of the Service, or (c) your breach of these Terms or applicable law.

13. Governing Law

These Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict-of-laws rules. The exclusive forum for any dispute is the state and federal courts located in Delaware, and you consent to personal jurisdiction there.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be announced via email or in-app notice at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
